THIS IS NOT AN OPEN-SOURCE LICENSE. Access to a repository, website, paper, demonstration, model, dataset, or other Glyphd material does not grant permission to implement the disclosed technology.
1. Acceptance
Any permission granted by this License is conditioned on compliance with its terms. By downloading, copying, running, receiving, or using any Materials beyond rights that cannot lawfully be waived, a recipient accepts this License. A recipient who does not accept it receives no license and must not use or retain the Materials.
2. Definitions
“Licensor” means Hayden Lindley, individually and doing business as Glyphd, and any lawful successor or assignee of the relevant rights.
“Materials” means all source code, object code, documentation, specifications, papers, diagrams, schemas, interfaces, demonstrations, prototypes, designs, prompts, workflows, model architectures, weights, adapters, datasets, benchmark methods, benchmark artifacts, test harnesses, audiovisual material, trade dress, names, inventions, discoveries, processes, know-how, and other material made available by or for Licensor.
“Covered Technology” means the specific architectures, combinations, mechanisms, workflows, data structures, interfaces, implementations, improvements, and know-how that are:
- identified in Licensor’s claimed-IP schedule;
- marked “Glyphd Proprietary,” “Confidential,” “Restricted,” or substantially similar;
- embodied in the Materials; or
- reasonably recognizable as a nonpublic implementation or refinement of a Glyphd research program.
Covered Technology includes specific Glyphd embodiments and combinations associated with LCSM / Backboard, FOVEA Address Fabric, Actor–Agent Runtime, GlyphCAS, SurfaceMind / SurfaceDelta, Object-Oriented Compression / fold/2, content-addressable video systems, fractal temporal and LLM-computation systems, Attention Cursor / Referential Return, Route M-Flight, Generated Operational Memory / Project Core, CAS-native chat agents, Context Corolla / spatial-intent interfaces, VWFF, Visual Direction Compiler / ImageOS, and JEFFE 4B.
“Confidential Materials” means nonpublic Materials that are marked confidential or that a reasonable person would understand to be confidential because of their nature or the circumstances of disclosure. Public research summaries are not converted into trade secrets merely by this License.
“Evaluation” means private internal review solely to decide whether to enter a separate written employment, contractor, investment, research, partnership, or commercial relationship with Licensor.
“Recipient” means any person or entity that accesses or receives Materials and any person acting for it.
3. Ownership and reservation of rights
3.1. As between Licensor and Recipient, Licensor retains all right, title, and interest lawfully owned or controlled by Licensor in the Materials and Covered Technology, including all copyright, patent, trade-secret, trademark, mask-work, database, design, contractual, and other proprietary rights.
3.2. No ownership right is transferred. No license is granted by implication, estoppel, exhaustion, course of dealing, publication, disclosure, interoperability, or otherwise.
3.3. Public release of a summary, paper, screenshot, demonstration, benchmark contract, or website page is not a dedication to the public domain and does not grant a patent, implementation, reproduction, derivative-work, model-training, trademark, or commercial-use license.
3.4. Licensor does not claim ownership of broad scientific fields, third-party prior art, public-domain material, generic ideas, or technology genuinely developed independently without use of the Materials. The protected subject matter is Licensor’s copyrightable expression, confidential know-how, specific implementations, and any patentable inventions or combinations lawfully owned by Licensor.
4. Limited evaluation permission
Subject to full compliance with this License, Licensor grants Recipient a personal, revocable, nonexclusive, nontransferable, nonsublicensable permission to:
- access and read Materials lawfully provided to Recipient solely for Evaluation; and
- run unmodified demonstration code expressly designated by Licensor as a public or evaluation demo, locally and solely for Evaluation.
This permission does not include production use, research use unrelated to Evaluation, implementation, modification, distribution, publication, training, commercialization, or competitive use.
5. No patent or technology license
No patent license, covenant not to sue, technology-transfer right, or right to practice any invention is granted. Recipient may not file, prosecute, finance, or assist a patent, utility-model, design, or similar application containing claims derived from Confidential Materials or Covered Technology.
To the extent permitted by law, the limited permission in Section 4 terminates immediately if Recipient challenges Licensor’s ownership of the Materials or knowingly challenges a Glyphd patent claim while continuing to use the Materials.
6. Prohibited uses
Except under a separate written agreement signed by Licensor, Recipient must not, directly or indirectly:
- copy, reproduce, modify, adapt, translate, port, arrange, transform, or create derivative works from the Materials;
- implement, reimplement, simulate, emulate, reconstruct, or incorporate Covered Technology in any product, service, model, library, paper, patent filing, standard, internal system, or research program;
- distribute, publish, sublicense, sell, lease, host, transmit, expose, or provide the Materials or Covered Technology to another person;
- use the Materials or Covered Technology to provide a commercial service, build a competing or substitute system, or benefit a third party;
- reverse engineer, decompile, disassemble, perform model extraction, infer hidden implementation details, circumvent access controls, or conduct destructive analysis, except solely to the narrow extent such restriction is prohibited by nonwaivable law;
- use the Materials as or within training data, fine-tuning data, reinforcement-learning data, distillation data, synthetic-data seeds, evaluation data, a retrieval-augmented-generation corpus, an embedding corpus, a vector index, an agent-memory source, a prompt library, or any other machine-learning or generative-AI input;
- upload Confidential Materials to a third-party AI system, code assistant, model provider, analytics service, public paste service, or unapproved cloud repository;
- publish or distribute benchmark results concerning nonpublic Materials without Licensor’s written approval and the required method, configuration, artifacts, limitations, and receipt;
- remove, obscure, alter, or falsify any copyright, confidentiality, attribution, provenance, patent, trademark, or license notice;
- use “Glyphd,” any Glyphd product or research-program name, logo, trade dress, or confusingly similar identifier, or imply sponsorship, certification, endorsement, or affiliation; or
- use the Materials in violation of law, regulation, sanctions, export controls, or another person’s rights.
Automated caching necessary to render a public Glyphd page, and ordinary general-purpose search indexing that respects applicable robots directives and is not used for model training or technology extraction, is not prohibited by Section 6.6.
7. Confidentiality and security
7.1. Recipient must protect Confidential Materials using at least the same degree of care it uses for its own information of similar importance, and never less than reasonable care.
7.2. Recipient may disclose Confidential Materials only to its personnel who have a strict need to know for Evaluation and who are bound by written obligations at least as protective as this License. Recipient remains responsible for their acts.
7.3. Recipient must maintain reasonable access controls, must not place Confidential Materials in public or broadly shared systems, and must promptly notify Licensor of any suspected loss, misuse, or unauthorized access.
7.4. On request or termination, Recipient must stop using and permanently delete or return all Confidential Materials and copies, except one archival copy required by law and kept inaccessible except for legal compliance. Recipient must certify deletion on written request.
7.5. Confidentiality obligations do not apply to information Recipient can prove through contemporaneous written records: (a) became public without breach; (b) was lawfully known without restriction before disclosure; (c) was lawfully received from a third party without confidentiality duty; or (d) was independently developed without access to or use of the Materials.
7.6. Obligations for trade secrets continue for as long as the information lawfully remains a trade secret. Obligations for other Confidential Materials continue for five years after the last disclosure or termination, whichever is later.
Protected-disclosure notice
Nothing in this License prohibits or creates liability for a disclosure protected by 18 U.S.C. § 1833(b), including a confidential disclosure to a government official or attorney made solely to report or investigate a suspected violation of law, or a disclosure made in a court filing under seal. Nothing here prohibits lawful reporting to a regulator or law-enforcement authority.
8. Feedback and contributions
8.1. Feedback is voluntary. Recipient grants Licensor a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use and exploit feedback that Recipient voluntarily provides about the Materials, without an obligation to compensate or credit Recipient.
8.2. Licensor does not accept source code, designs, inventions, datasets, model weights, research text, or other substantive contributions without a separate signed contributor or invention-assignment agreement. Submission of a pull request, issue, message, or file does not grant Recipient any right in Licensor’s technology and does not obligate Licensor to review or use the submission.
9. Third-party material
Third-party components remain governed by their own licenses. This License does not expand Licensor’s rights in third-party material and does not reduce Recipient’s obligations under an applicable third-party license. Where a file contains a specific third-party license notice, that notice controls for that component only.
10. Termination
This License and every permission under it terminate automatically upon breach. Licensor may also revoke Evaluation access at any time by notice. Upon termination, Recipient must immediately cease use and comply with Section 7.4.
Sections concerning ownership, prohibited use, confidentiality, feedback, remedies, disclaimers, liability, indemnity, and general terms survive termination.
11. Remedies
Unauthorized use or disclosure may cause harm that cannot be adequately remedied by money alone. Subject to applicable law, Licensor may seek temporary, preliminary, and permanent injunctive or other equitable relief in addition to damages and any other available remedy. No delay in enforcement is a waiver.
12. Disclaimer
THE MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND FOR RESEARCH OR EVALUATION PURPOSES ONLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND PERFORMANCE. RESEARCH STATUS LABELS ARE NOT PRODUCT WARRANTIES.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES ARISING FROM THE MATERIALS OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY.
14. Indemnity
Recipient will defend, indemnify, and hold harmless Licensor and Licensor’s successors, officers, agents, and contractors from third-party claims, losses, liabilities, costs, and reasonable legal fees arising from Recipient’s breach of this License, unauthorized use of the Materials, or violation of another person’s rights, except to the extent caused by Licensor’s intentional misconduct.
15. General terms
15.1. Recipient may not assign or transfer this License or any permission under it. Licensor may assign its rights to an entity that acquires or succeeds to the applicable business or intellectual property.
15.2. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions remain effective.
15.3. A waiver must be written and signed by Licensor and applies only to the stated instance.
15.4. A signed nondisclosure agreement, contributor agreement, employment or contractor invention-assignment agreement, commercial license, or statement of work controls over this License to the extent of an express conflict.
15.5. Nothing creates a partnership, agency, fiduciary relationship, franchise, employment relationship, or joint venture.
15.6. Rights and exceptions that cannot lawfully be waived remain unaffected. Otherwise, all rights not expressly granted are reserved.
16. Contact and permissions
Commercial, research, contributor, implementation, patent, or redistribution rights require a separate written agreement signed by Licensor.
